SPV & Investment Partnership Tax Preparation
Form 1065 partnership returns and investor Schedule K-1s for special purpose vehicles, investment LLCs and private investment groups. Simple returns start at $1,300.
Form 1065 + investor K-1s
The federal partnership return, a K-1 for every investor and capital account reporting, prepared from your operating agreement and investment documents.
Built for multi-entity sponsors
Run several SPVs? File them together with one document request, one calendar and portfolio pricing.
For SPV managers, angel syndicate leads, independent sponsors, family offices and investors who hold a startup, real estate or fund investment through their own LLC. These vehicles may have only a few transactions each year, but every one of them still needs a federal partnership return and a Schedule K-1 for each investor.
What's included
Form 1065 partnership return
We prepare and e-file the federal partnership return (Form 1065) for the vehicle, with the schedules your investments require.
Investor Schedule K-1s
A Schedule K-1 for each investor, built from the operating agreement's allocation terms, and delivered on time so investors can file their own returns.
Capital account reporting
We roll each partner's capital account forward for contributions, allocations and distributions, and reconcile it to the books.
Investment income and expenses
We report interest, dividends, gains, management and administrative fees, and organization costs in the correct place on the return.
Document review
We review the operating agreement, subscription documents, SAFEs, convertible notes and closing statements, so the return matches what the vehicle actually owns.
Multi-entity coordination
If you run several SPVs, you get one preparer, one document request and one filing calendar for every entity.

Your fee is confirmed in writing before any work starts. Investors' personal returns are separate.
Who this is for
Independent SPV managers
You administer your own vehicles, or your platform's service has ended, and you need a dependable annual filing for each entity.
Angel syndicates and boutique VCs
You lead several small deals a year and want every entity on the same document request, calendar and K-1 format.
Family offices and investment LLCs
Relatives or partners hold investments together through an LLC taxed as a partnership.
Already on an SPV platform? Many platforms include K-1s and tax filings in their fee, so check your agreement first. We work best for vehicles that handle their own administration, sponsors who want one preparer across many entities, and entities that need a catch-up or corrected filing.
Key dates for calendar-year partnerships
March 15
Form 1065 is due, and investors should receive their K-1s by this date.
September 15
This is the extended deadline if Form 7004 is filed by March 15. The extension gives you more time to file, but investors still wait for their K-1s.
Late filing
The IRS late-filing penalty is charged for each partner, for each month the return is late, for up to 12 months. Even a small SPV can owe a large penalty.

Common Questions
What is an SPV for tax purposes?
A special purpose vehicle is usually an LLC formed to make one investment on behalf of several investors. Unless it elects otherwise, an LLC with two or more members is taxed as a partnership. That means it files Form 1065 each year and gives every investor a Schedule K-1, even in a year with little or no activity.
What does the $1,300 starting fee include?
Federal Form 1065 preparation and e-filing, up to two investor K-1s, capital account reporting and a review of the entity's records and investment documents, for an entity with clean records and straightforward activity. Additional K-1s start at $75 each and state returns at $350 each. Complex allocations and specialized analysis are quoted in writing before work begins.
Do you offer pricing for several SPVs?
Yes. Sponsors with three or more entities can file them together under one engagement, with portfolio pricing and one document request and calendar.
Does a convertible note or SAFE change the tax work?
It can. Accrued interest, original issue discount and conversion events sometimes need separate analysis, even when the entity has very few transactions. We review the documents at the start and tell you if that work is outside the base fee.
Do I need to file if the SPV had no income this year?
Generally, yes. A partnership must file Form 1065 for each year it exists, unless it had no income and no deductions or credits. Even when no return is due, investors may still need information about their capital accounts. We'll confirm your situation during the scope call.
Do you prepare the investors' personal returns?
Not as part of this service. Investors use their K-1s on their own returns. Mac Neal LLC also prepares personal returns, quoted separately on our Tax Preparation page.
This page describes a service, not individual tax advice. Filing requirements depend on the entity's agreements, elections, investors and activity, and are confirmed in a written engagement.
